Tata Sons Boardroom Battle Intensifies as Noel Tata Challenges N Chandrasekaran's Reappointment
Tata Trusts Chairman Noel Tata has contested N Chandrasekaran's reappointment at Tata Sons, raising governance and conflict-of-interest concerns.

Corporate Governance Dispute at Tata Sons
The boardroom tensions at India's largest conglomerate have escalated significantly. Noel Tata, Chairman of Tata Trusts, has officially challenged the validity of N Chandrasekaran's reappointment as the executive chairman of Tata Sons, marking a critical juncture in the leadership dynamics of the salt-to-software conglomerate.
In a detailed eight-page communication dated October 26, addressed to Tata Sons Company Secretary Suprakash Mukhopadhyay and circulated to the board of directors, Noel Tata termed the September 17 resolution approving Chandrasekaran's second five-year term as 'void.' The communication demands a comprehensive review of board meeting records, voting metrics, conflict-of-interest declarations, and the legal foundations supporting the decision.
Core Objections and Procedural Concerns
The challenge centers around two primary pillars: adherence to procedural protocols during the board meeting and undisclosed business dealings.
According to the correspondence, Chandrasekaran's reappointment—slated to commence after his current term concludes in February 2027—was allegedly not appropriately listed on the primary or revised meeting agendas. Instead, the matter was introduced under an agenda item concerning a briefing from the Nomination and Remuneration Committee (NRC), despite committee minutes and agenda documents reportedly remaining uncirculated to directors prior to the meeting.
Furthermore, Noel Tata pointed out the absence of a designated selection committee under Article 118 of the company's Articles of Association, a mechanism that was formally requested in mid-August but left unaddressed.
Governance and Voting Integrity
Beyond procedural irregularities, the challenge questions the validity of the voting process. The filing argues that the resolution required specific affirmative votes from directors designated under Article 104B, which allegedly were not secured. Questions have also been raised regarding the premature certification and filing of the resolution with the Registrar of Companies prior to the formal finalization of the board meeting minutes.
To ascertain the sequence of events, the Tata Trusts Chairman has demanded complete access to original audio-video recordings, transcripts, final signed minutes, and individual director voting records.
Potential Conflicts of Interest
The dispute also brings to light inquiries regarding potential business intersections involving TVS Motor and entities linked to Chandrasekaran's family, raising governance questions about whether adequate disclosures were made prior to the board's consideration of the leadership extension.
As Daily News 365 continues to monitor this unfolding corporate development, representatives for Tata Sons have yet to issue a formal public response to the allegations outlined in the communication.
